What is a Special Recipient in Sweden?
A designated process recipient is authorised to receive legal documents served to a company or association, such as summons, notices, terminations, and more. They are responsible for promptly informing the company’s board about the service and its content. However, this role does not grant any additional authority to represent the company.
Why is This a Legal Requirement?
Swedish law requires every company or association to have a responsible person in Sweden who can be served with both legal and commercial documents. If no board member or CEO resides in Sweden, the board must formally appoint and register a special recipient for service of process.
This requirement exists to make sure that both legal and commercial documents can be properly served and that the organisation always has access to information relevant to its operations and any proceedings it may be involved in. It also ensures that papers such as summons, notices, contracts and other critical documents can always be served on the organisation, keeping the company reachable in all matters that may affect its rights or obligations, whether they come from government authorities, business partners or other stakeholders.
